Effective May 12, 2026. These Terms govern access to and use of Industrial Spine Research products.
By accessing industrialspineresearch.com (the "Site"), purchasing any product, or using any service offered by Industrial Spine Research (the "Firm," "we," "us," "our"), you ("Buyer," "you," "your") agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of an entity, you represent that you have authority to bind such entity.
Industrial Spine Research publishes original research products including investment theses, fact sheets, charts, methodology workbooks, the bespoke intake call, and bespoke engagements (collectively, the "Research"). The Research is provided for informational purposes only. The Research does not constitute investment advice, legal advice, tax advice, accounting advice, or a recommendation to buy, sell, or hold any security or asset. Industrial Spine Research is not a registered investment advisor, broker-dealer, attorney, or CPA, and nothing in the Research creates a fiduciary, advisor-client, or attorney-client relationship.
Upon Stripe-confirmed payment, the Buyer receives a perpetual, worldwide, non-transferable, exclusive license to (a) read, analyze, and internally distribute the Research within Buyer's organization and named affiliates; (b) share with Buyer's professional advisors (counsel, accountants, federal program officers) under reasonable confidentiality; (c) use the Research to inform Buyer's own commercial, investment, federal application, or operational decisions; (d) reference and quote with attribution in Buyer's internal investment committee memoranda.
The license does not permit: (a) republication; (b) resale, sublicensing, or syndication; (c) use as basis for a competing publication; (d) removal of any copyright or attribution.
The Methodology subscription is annual and grants (i) 30-day first-look access on new theses, (ii) quarterly methodology updates, monthly market briefings, and (iii) a 10–20% discount on thesis purchases (tier-dependent). Subscriptions auto-renew annually unless canceled. Firm and Enterprise tiers are domain-bound and include a 7-day trial set at subscription creation. The trial is non-renewable per domain.
The bespoke intake call is a 60-minute paid conversation. Upon payment, the Buyer receives (a) the call appointment, (b) a written intake brief, (c) a follow-up memo within 5 business days, and (d) a $1,500 promotion code valid for 12 months for full credit toward any subscription, thesis, pillar portfolio, or bespoke engagement. The promotion code is single-use and non-transferable. The $1,500 call fee is not refundable as cash; the promotion code is issued regardless of whether the Buyer ultimately schedules.
Bespoke engagements are governed by a separately executed engagement letter that defines scope, deliverables, timing, fees, and intellectual property. The engagement letter supersedes these Terms with respect to that engagement, except that the limitations of liability and disclaimers in Sections 9–11 always apply.
All payments processed via Stripe in U.S. dollars unless otherwise noted. Buyer is responsible for sales, use, VAT, withholding, or similar transaction taxes. Where Stripe Tax applies, applicable tax is calculated and added at checkout.
Exclusive theses and pillar portfolios are sold with immediate access — all sales final and non-refundable. Methodology subscriptions may be canceled during the 7-day trial (Firm and Enterprise tiers only) or pro-rated within 14 days. Bespoke intake call fees are non-refundable as cash (but the $1,500 promotion code is always issued).
You represent and warrant that (a) you are at least 18, (b) you are an institutional buyer or institutional-affiliated professional acting in a business capacity, (c) you are not on any U.S., U.N., or E.U. sanctions list and are not located in any sanctioned jurisdiction, (d) you will use the Research only in accordance with Section 3, and (e) the information you provide at checkout is accurate.
The Research and the Site are provided "as is" and "as available" without warranty of any kind, express, implied, or statutory, including without limitation the implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, and quiet enjoyment. We make no representation that (i) the Research will meet Buyer's requirements; (ii) the Research is accurate, complete, current, reliable, or error-free; (iii) any commercial opportunity will materialize; (iv) any federal program will remain in effect; or (v) the Site will be uninterrupted, secure, or free of harmful components.
To the maximum extent permitted by law, in no event shall Industrial Spine Research be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost opportunity, lost data, loss of business reputation, or cost of substitute products. In no event shall the aggregate liability of Industrial Spine Research exceed the total amount paid by Buyer to the Firm in the twelve months preceding the claim.
The Research contains forward-looking statements regarding commercial opportunities, federal programs, market sizes, and pricing forecasts. Such statements are based on public information at the time of writing and are subject to significant risks and uncertainties. Actual results may differ materially. Buyer assumes all risk of relying on any forward-looking statement.
Information identified by either party as confidential will be held in confidence and used only for the purposes contemplated by these Terms. Each party will use reasonable care, no less than the care it uses to protect its own confidential information.
Industrial Spine Research retains all right, title, and interest, including copyright, in the Research, the Site, the Mutual Threshold Saturation framework, the five-axis scoring rubric, and all underlying methodologies, except as expressly licensed in Section 3. Buyer retains all rights in Buyer-supplied data shared during bespoke engagements.
Buyer will indemnify, defend, and hold harmless Industrial Spine Research from any third-party claim arising out of (a) Buyer's breach of these Terms, (b) Buyer's misuse of the Research, or (c) Buyer's violation of any law or third-party right.
These Terms remain in effect for so long as Buyer accesses the Site or holds any Research license. We may suspend or terminate Buyer's access for material breach after written notice and a reasonable cure period (except in cases of fraud, sanctions violations, or unauthorized resale, where termination may be immediate). Sections 9–14, 16, and 17 survive termination.
These Terms are governed by Florida law, without regard to conflict-of-laws principles. Any dispute is resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Brevard County, Florida. Each party waives any right to jury trial or class action.
These Terms, together with the Privacy Policy and any executed engagement letter, constitute the entire agreement. No waiver effective unless in writing. If any provision is unenforceable, the remainder remains in full effect. Buyer may not assign without consent; the Firm may assign in a sale of substantially all assets.
